Draft — pending counsel review

This document has been drafted but not yet reviewed by a qualified lawyer. It describes our actual practice in good faith and should be treated as a statement of intent rather than a binding legal instrument until that review is complete.

Engagement and term

Services are provided month to month with no minimum term. Either party may end the engagement with thirty days written notice. Work in progress at the point of notice is completed and invoiced; nothing new is started.

Fees

Monthly fees are as stated on the pricing page or in your written scope. Invoices are issued monthly in advance and are payable within fourteen days.

Ad spend, software licences and third-party tooling are billed at cost with no markup and itemised separately.

What we do not warrant

We do not guarantee any specific ranking, placement, citation in an AI-generated answer, volume of leads, or revenue outcome. We do not control search engine algorithms, model training data or retrieval ranking, and no supplier who claims otherwise can substantiate it.

What we do warrant is that the work will be performed with reasonable skill and care, and that the measurements we report are accurate to the method described on our method page.

Intellectual property

Deliverables created specifically for you transfer to you on payment. Our underlying methods, templates, frameworks and tooling remain ours. Nothing in an engagement grants either party rights in the other's pre-existing intellectual property.

Confidentiality and publication

Each party keeps the other's confidential information confidential. We will not publish a case study, result, client name or logo without separate written approval, and that approval can be withdrawn.

Liability

Neither party excludes liability where it cannot lawfully do so. Otherwise, each party's total liability is limited to the fees paid in the twelve months preceding the claim, and neither party is liable for indirect or consequential loss.
